These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between Polyverre SAS, whose head office is located in Incheville (France), and any customer wishing to use its technical subcontracting services on entrusted glass products.
- Technical subcontracting
Polyverre works exclusively as a technical subcontractor on glass products supplied by the customer, for operations such as: sawing, polishing, buffing, drilling, lapping, plastemeri injection, plastring, washing. Services are provided on a contract basis, in accordance with technical specifications validated by the customer.
- Orders
All orders must be accompanied by a signed quotation or purchase order issued by the customer. Failing this, any verbal or written instruction validated by the customer will imply full and complete acceptance of these GCS.
- Quotations and administrative fees
Service prices are quoted in euros, exclusive of tax. A flat-rate handling fee of €50 (excl. VAT) is automatically applied to each invoice for which the amount of technical services (excluding handling fees) is less than €500 (excl. VAT).
- Delivery times
Delivery times are given for information only and do not constitute a firm commitment, unless expressly stated in the quotation. No delay may give rise to penalty or cancellation, except by prior written agreement.
- Payment terms
Unless otherwise stipulated, invoices are issued upon delivery of the processed products and are payable within 30 days from the date of issue. Any delay in payment will result in the application of late payment interest equivalent to three times the legal interest rate, as well as a fixed indemnity for collection costs of €400, in accordance with article L441-10 of the French Commercial Code.
- Transfer of risk - Entrusted products
Glass products are supplied and transported by the customer under his sole responsibility. The transfer of risk takes place upon receipt in our workshops. Polyverre declines all responsibility for any initial defects in the products entrusted to us (bubbles, internal cracks, heterogeneity of the glass, etc.).
- Limitation of liability
Due to the intrinsic fragility of glass and the transforming nature of the services provided, Polyverre's liability is strictly limited to the amount invoiced, exclusive of VAT. Polyverre cannot be held responsible for any loss, deterioration, breakage or non-conformity resulting from :
- a hidden defect in the original product,
- a design or manufacturing defect,
- or misuse of products after processing. No indirect compensation (loss of earnings, loss of market, etc.) may be claimed.
- Claims
All complaints must be made in writing within 7 working days of delivery. After this period, the service is deemed to be in conformity.
- Payment guarantee clause - No retention of title
The products entrusted by the customer remain his exclusive property. However, in the event of non-payment by the agreed due date, Polyverre SAS reserves the right to suspend any service in progress and to make any further intervention conditional on cash payment and/or full settlement of the balance due. In addition, the products delivered remain subject to a payment guarantee obligation: any unpaid service may be subject to collection action, accompanied, if necessary, by protective or legal proceedings, at the customer's exclusive expense.
- Personal datas
Data collected in the context of commercial exchanges is processed in accordance with current regulations and exclusively for the purpose of managing customer relations.
- Applicable law - Competent jurisdiction
These terms and conditions are governed by French law. Any dispute relating to their interpretation or execution shall fall within the exclusive jurisdiction of the Dieppe Commercial Court.
